Terms of sale and use

These terms govern access to and use of the Graft platform. They are accepted when you create an account. This English version is provided for convenience only. In the event of any discrepancy, the French version prevails.
1. Definitions
- “Platform”: the Graft service, available online, for managing affiliate programmes.
- “Merchant”: the business customer who subscribes to the Platform.
- “Affiliate”: the person who promotes a Merchant's product via a tracking link.
- “Programme”: the affiliate scheme created and configured by a Merchant.
- “Commission”: the amount owed by the Merchant to the Affiliate for a conversion.
2. Purpose
The publisher provides the Merchant with software for creating affiliate programmes, tracking clicks and conversions, calculating commissions and arranging their payment. The publisher is not a party to the contract between the Merchant and its Affiliates.
3. Registration and account
The Platform is reserved for business users. The Merchant warrants the accuracy of the information provided and is solely responsible for keeping its credentials confidential and for all activity carried out from its account.
4. Subscription, billing and termination
The subscription is taken out under the selected plan and billed in advance, monthly or annually. It renews automatically for the same term unless cancelled before the renewal date from the account settings.
Billing is handled by Paddle.com Market Ltd, acting as authorised reseller (Merchant of Record). Paddle is the seller of record, issues the invoice and collects applicable VAT. Paddle's terms apply to the payment transaction.
Termination takes effect at the end of the current period. Amounts already paid for the current period are not refunded pro rata, without prejudice to the refund policy below.
5. Withdrawal and refunds
The 14-day right of withdrawal under EU consumer law applies to consumers. As the Platform is aimed at business users, that right does not automatically apply to Merchants acting in the course of their business.
As a commercial policy, and beyond any legal obligation, the publisher offers a full refund on request within 30 days of the first payment.
6. Affiliate programmes, commissions and payouts
The Merchant freely defines the rules of its Programme (rates, attribution window, lock period). Commissions are owed by the Merchant to its Affiliates. The publisher provides the tooling to calculate and execute payouts but is never the debtor of the commissions.
Fraud detection features are provided as alerts and decision support only. They never automatically cancel a commission: the final decision rests with the Merchant.
7. Use of the service
The Merchant undertakes not to use the Platform for unlawful purposes, not to attempt to circumvent its technical limits or plan quotas, and to comply with the regulations applicable to its own activity — in particular obtaining visitor consent before any cookie is set on its own site.
8. Intellectual property
The publisher grants the Merchant a personal, non-exclusive, non-transferable right to use the Platform for the duration of the subscription. The Merchant retains all rights to its own content.
9. Personal data
The processing of personal data is governed by the Privacy policy and, for processing carried out on the Merchant's behalf, by the Data Processing Agreement (DPA), both of which form an integral part of these terms.
The Merchant remains the owner of its data. On termination, it may export its data for 30 days; the data is permanently deleted within 90 days.
10. Availability and liability
The publisher is bound by an obligation of means as to the availability of the Platform, not an obligation of result. It cannot be held liable in the event of force majeure, failure of a third-party provider, or use that does not comply with these terms.
Save in cases of gross negligence or wilful misconduct, the publisher's liability is capped at the amounts actually paid by the Merchant over the twelve months preceding the triggering event.
11. Governing law and jurisdiction
French law governs. Failing an amicable settlement, any dispute falls within the exclusive jurisdiction of the courts specified in the French version of these terms.
